This Ambassador / Disciple Agreement (the “Agreement”) is entered into by and between Kingdom Vibe, Inc., a North Carolina corporation (“Kingdom Vibe,” “Company,” “we,” or “us”), and the individual or entity accepting this Agreement (“Disciple,” “you,” or “your”). Together, they are the “Parties.”

PURPOSE AND RELATIONSHIP

1. Purpose
Kingdom Vibe is a movement and media, event, apparel, and technology brand. The Disciple will introduce people to Kingdom Vibe, promote approved Kingdom Vibe offerings, and encourage eligible purchases through the Disciple’s assigned referral link or code. The title “Disciple” is Kingdom Vibe’s program name for a commission-based ambassador; it does not establish a religious office, employment relationship, partnership, joint venture, franchise, or ownership interest.

2. Independent Contractor
The Disciple is an independent contractor and controls the manner, time, place, and means of lawful promotional activity, subject to this Agreement and Kingdom Vibe’s brand and compliance standards. The Disciple is not an employee and is not eligible for wages, benefits, insurance, unemployment benefits, workers’ compensation, or reimbursement unless expressly approved in writing. The Disciple is responsible for all taxes, licenses, permits, equipment, and expenses arising from the Disciple’s activities.

3. No Authority to Bind Company
The Disciple may not sign contracts, make commitments, collect money on Kingdom Vibe’s behalf, promise refunds, negotiate sponsorships, alter pricing, or otherwise bind Kingdom Vibe unless separately authorized in a signed writing by an authorized Company officer.

ENROLLMENT, TERM, AND ELIGIBILITY

4. Enrollment and Program Access
Participation is subject to Company approval. The Disciple must provide accurate contact, payment, tax, and identity information and promptly update changes. Kingdom Vibe may require a completed IRS Form W-9 before issuing commissions and may withhold payment where information is incomplete, inaccurate, or legally insufficient.

5. Term and Termination
This Agreement begins on the Effective Date and continues until terminated. Either Party may terminate it at any time by written or electronic notice. Kingdom Vibe may suspend access or terminate immediately for fraud, chargeback manipulation, brand misuse, unlawful conduct, harassment, deceptive marketing, unauthorized promises, spam, or any material breach. Sections that by their nature should survive—including payment reconciliation, confidentiality, intellectual property, indemnification, limitations, dispute terms, and accrued obligations—will survive termination.

COMMISSION PLAN

6. Default Commission Rate
Unless a separate written campaign schedule states otherwise, the Disciple will earn a commission equal to ten percent (10%) of Commissionable Revenue from Verified Sales properly attributed to the Disciple. Kingdom Vibe may offer campaign-specific rates, bonuses, caps, or incentives in writing. A change will apply prospectively unless the Parties expressly agree otherwise.

7. Commissionable Revenue
“Commissionable Revenue” means amounts actually received and retained by Kingdom Vibe for eligible tickets, approved ticket bundles, and eligible apparel, excluding taxes, donations, gratuities, shipping, payment-processing charges, ticketing or service fees, discounts, credits, complimentary items, refunds, cancellations, chargebacks, fraudulent orders, and amounts owed to third parties. Sponsorships, vendor packages, investments, grants, charitable contributions, and other transactions are excluded unless a written campaign schedule expressly includes them.

8. Verified Sale
A “Verified Sale” is an eligible completed transaction that (a) was tracked to the Disciple under Section 9; (b) was paid in full; (c) was not self-dealing, fraudulent, duplicated, canceled, refunded, disputed, or charged back; and (d) satisfied any campaign-specific validation or hold period. Kingdom Vibe’s platform records will control absent clear evidence of a material tracking error.

9. Attribution
The default attribution window is thirty (30) days from a valid click on the Disciple’s assigned referral link or use of the Disciple’s assigned code. Attribution is subject to functioning cookies, browser and device settings, platform availability, and the customer completing the transaction through an eligible path. If multiple referral sources are involved, Kingdom Vibe’s recorded attribution rules—including any last-eligible-referral rule—will control. Kingdom Vibe does not guarantee that every referral will be technically attributable.

10. Payout Timing and Threshold
Verified commissions will ordinarily be calculated monthly and paid by the fifteenth (15th) day of the following month, after applicable validation and refund periods. Kingdom Vibe may offer earlier or real-time payouts through the platform, but such availability is not guaranteed. The default minimum payout threshold is Twenty-Five Dollars ($25.00); smaller balances roll forward. The Disciple must maintain a valid payment method and required tax documentation.

11. Reversals, Offsets, and Errors
Kingdom Vibe may reverse or offset commissions associated with refunds, cancellations, disputes, chargebacks, fraud, duplicate credit, pricing error, or breach of this Agreement, including against future commissions. If an overpayment remains after termination, the Disciple will repay it within fifteen (15) days after written notice. The Disciple must dispute a commission statement in writing within thirty (30) days after it is made available, identifying the transaction and basis for the dispute.

DISCIPLE STANDARDS

12. Truthful Promotion and Required Disclosure
The Disciple will make only truthful, supportable statements and will clearly and conspicuously disclose the material relationship with Kingdom Vibe whenever promoting or endorsing Kingdom Vibe or an eligible offering. A disclosure must be easy to notice and understand and placed with the endorsement—not hidden in a profile, after “more,” or among unrelated hashtags. Examples may include “Paid Kingdom Vibe Disciple,” “Kingdom Vibe Ambassador—I may earn a commission,” or “#ad,” when accurate and appropriate to the platform. The Disciple must disclose the relationship even when giving an honest opinion or posting without a specific request.

13. Approved Conduct and Minimum Posting Commitment
The Disciple will represent Kingdom Vibe in a professional, respectful, faith-aligned, and community-minded manner; use current Company-provided facts, links, codes, pricing, event details, and creative assets; protect customer privacy; and promptly correct or remove inaccurate content when requested. During the announced promotional period leading up to each event or product launch assigned to the Disciple, the Disciple will publish at least one (1) promotional social-media post each week using the approved campaign materials, assigned referral link or code, required paid-relationship disclosure, and requested Kingdom Vibe tag or handle. A qualifying post may be a feed post, reel, video, or other format approved in the applicable campaign brief; a temporary story counts only when the campaign brief expressly permits it. Kingdom Vibe may provide reasonable posting windows and key messages but does not require the Disciple to make statements the Disciple does not honestly believe.

14. Prohibited Conduct
The Disciple may not: make false, misleading, unsubstantiated, or guaranteed claims about attendance, artists, outcomes, earnings, products, tax treatment, charitable impact, or availability; send unlawful or unsolicited bulk email or text messages, use deceptive domains or accounts, impersonate Kingdom Vibe, or engage in harassment; bid on Kingdom Vibe trademarks as paid-search keywords, run paid advertising using Company marks, or create coupons, discounts, giveaways, contests, or promotions without written approval; purchase through the Disciple’s own link or code primarily to generate commissions, manipulate attribution, fabricate orders or engagement, or recruit others through deceptive earnings claims; collect customer payment information or sensitive personal information on Kingdom Vibe’s behalf; or use content that is hateful, discriminatory, sexually explicit, violent, illegal, defamatory, or reasonably likely to damage the Kingdom Vibe movement or brand.

BRAND, CONTENT, AND CONFIDENTIALITY

15. Limited Brand License
During the term, Kingdom Vibe grants the Disciple a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use approved Kingdom Vibe names, logos, links, campaign language, and creative assets solely to perform under this Agreement. The Disciple will follow brand standards, will not alter logos or imply ownership, and will stop using all Company materials immediately upon termination or request. All goodwill belongs exclusively to Kingdom Vibe.

15A. Promotional Merchandise and Marketing Materials
For each campaign in which the Disciple is activated, Kingdom Vibe will provide at least one (1) piece of Kingdom Vibe merchandise, subject to available styles, sizes, inventory, shipping, and campaign requirements, together with approved digital or physical marketing materials reasonably needed for promotion. Unless a campaign brief states otherwise, complimentary merchandise is provided for the Disciple’s personal promotional use, may not be resold, exchanged for cash, or represented as a customer giveaway, and does not alter the commission calculation. The Disciple agrees to make a reasonable effort to feature or wear the merchandise in campaign content when requested and appropriate. Replacement merchandise is not guaranteed if an item is lost, damaged, or the wrong size due to inaccurate information supplied by the Disciple.

16. Disciple Content and Reposting Permission
The Disciple retains ownership of original content the Disciple creates, excluding Kingdom Vibe intellectual property. The Disciple grants Kingdom Vibe a worldwide, nonexclusive, royalty-free license during the term and for twenty-four (24) months afterward to repost, display, reproduce, and adapt campaign-related content, including the Disciple’s approved name, handle, likeness, voice, and statements, for Kingdom Vibe marketing, with reasonable attribution where practicable. Paid advertising, merchandising, or materially altered testimonial use requires separate written approval unless already authorized in a campaign brief.

17. Confidentiality
The Disciple will protect nonpublic information, including launch plans, customer or attendee data, pricing strategy, unreleased creative, access credentials, sales data, commission reports, partner information, and business methods. The Disciple may use confidential information only to perform this Agreement and may not disclose it except as legally required. If disclosure is legally required, the Disciple will provide prompt notice where lawful.

18. Privacy and Security
The Disciple will use only Company-approved tools to handle referrals and will not download, retain, sell, or misuse customer or attendee information. Any suspected loss, unauthorized access, or disclosure must be reported to Kingdom Vibe promptly. Login credentials and referral access may not be shared.

RISK ALLOCATION AND GENERAL TERMS

19. Compliance With Law and Platform Rules
The Disciple will comply with applicable advertising, endorsement, privacy, anti-spam, consumer-protection, tax, intellectual-property, and promotional laws and with the terms of each social-media, email, messaging, or advertising platform used. Kingdom Vibe may provide guidance, but the Disciple remains responsible for lawful conduct.

20. Indemnification
To the fullest extent permitted by law, the Disciple will defend, indemnify, and hold harmless Kingdom Vibe, Inc. and its officers, directors, employees, contractors, affiliates, and agents from third-party claims, losses, penalties, damages, and reasonable costs (including attorneys’ fees) arising from the Disciple’s breach, unlawful or misleading promotion, unauthorized commitments, negligence or misconduct, content, or infringement of another party’s rights. Kingdom Vibe will promptly notify the Disciple of a covered claim and reasonably cooperate in the defense.

21. Disclaimer and Limitation of Liability
Kingdom Vibe does not guarantee sales, commissions, audience growth, program availability, event performance, or uninterrupted tracking. Except for payment obligations and liability that cannot legally be limited, neither Party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits or opportunities, arising from this Agreement. Kingdom Vibe’s aggregate liability arising from this Agreement will not exceed commissions paid or payable to the Disciple during the six (6) months preceding the event giving rise to the claim.

22. Governing Law and Venue
North Carolina law governs this Agreement, without regard to conflict-of-law rules. Before filing a lawsuit, the Parties will attempt in good faith for at least fifteen (15) days to resolve the dispute through written notice and direct discussion. Any permitted court proceeding must be brought in the state or federal courts serving the North Carolina county where Kingdom Vibe maintains its principal office, and each Party consents to that venue and jurisdiction.

23. Notices
Notices may be delivered personally, by nationally recognized courier, or by email to the most recent address provided by the receiving Party. Program notices, statements, suspensions, and termination notices may be delivered through the Kingdom Vibe platform or by email and are effective when sent, unless the sender receives a delivery-failure notice.

24. Assignment
The Disciple may not assign or transfer this Agreement, a referral account, or payment rights without Kingdom Vibe’s prior written consent. Kingdom Vibe may assign this Agreement in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer to an affiliate or successor.

25. Entire Agreement; Changes; Severability; Waiver
This Agreement and any signed or electronically accepted campaign schedule constitute the entire agreement concerning the Disciple program and supersede prior discussions. A campaign schedule controls only where it expressly conflicts with this Agreement. Material amendments require written or electronic acceptance, except Kingdom Vibe may update operational policies prospectively with reasonable notice. If any provision is unenforceable, it will be narrowed or severed while the remainder continues. A waiver must be in writing and applies only to the specific instance.

26. Electronic Signatures and Counterparts
The Parties agree that electronic signatures, click acceptance, and counterparts are effective to the fullest extent permitted by law. Each signer represents that the signer has authority to enter into this Agreement. Electronic records may be retained and reproduced as originals.

ACCEPTANCE
By electronically accepting, the Parties acknowledge that they have read, understood, and agreed to this Agreement. The Disciple acknowledges that commissions are performance-based, no earnings are guaranteed, and the Disciple has had the opportunity to seek independent legal and tax advice.

SCHEDULE A — DEFAULT COMMISSION TERMS
Commission rate: 10% of Commissionable Revenue.
Eligible categories: Tickets, approved ticket bundles, and eligible apparel.
Company-provided support: At least 1 merchandise item per activated campaign, plus approved marketing materials.
Minimum promotion: At least 1 qualifying post per week during each assigned pre-event or pre-launch promotional period.
Attribution window: 30 days, subject to platform attribution rules.
Validation: Paid, eligible, nonfraudulent sale; subject to refund/chargeback review.
Standard payout: Monthly, ordinarily by the 15th day of the following month.
Minimum payout: $25; smaller balances roll forward.
Faster payout: May be offered through the platform; not guaranteed.
Dispute period: 30 days after statement availability.

Business draft notice: This agreement is a practical business template and is not a substitute for advice from a North Carolina attorney or tax professional. Kingdom Vibe should have counsel review the final program, payout process, privacy practices, and worker-classification facts before broad rollout.

I understand that typing my full legal name and submitting this application constitutes my electronic acceptance of the Agreement.
